The combination of “trade secrets” and “interlocked directorates” suggests a sense of contrast: on the one hand, an IP right whose economic value is strictly tied to its secrecy and therefore requires the adoption of reasonable measures to keep that in- formation secret; on the other hand, a governance structure that is, by its nature, designed to facilitate the flow of information. This combination raises the question of whether the aim of protecting trade secrets is inherently incompatible with the appointment of interlocked directors, particularly when they serve competing companies, or whether the two may coexist—and, if so, which tools companies may adopt to ensure that interlocked directorates do not un- dermine the protection of trade secrets.
