In contemporary business relations, the possibility to change either party of a contract by way of a voluntary act of transfer is of great utility. Whereas generally acknowledged across Europe, the solutions for such a device at national level diverge, not to mention that it lacks a specific discipline in many codifications. Against this background, the paper intends to offer a comparison between Italian law and the uniform rules elaborated at international level by the authors of the UNIDROIT Principles of International Commercial Contracts.
