"Agreements among shareholders for the benefit of third parties" discusses the various examples of the legal concept of "contract for the benefit of third parties" in the context of the relationships among shareholders, or between the shareholders and the company, or among shareholders, the company and third parties; in particular with respect to shareholders' agreements as well as to corporate relationships proper. The analysis shows how, in such contexts, the concept of interest of the promisee is not necessarily the same as in contracts based on the exchange of consideration. Such examples give the opportunity to revisit the concept of the interest of the promisee in respect of the general rules on contracts, whose relevance appears limited and not subject to strict definitions, also from the historical and comparative perspective

"Accordi fra soci a favore di terzi" esamina le molteplici applicazioni dell'istituto del contratto a favore di terzi, nei rapporti fra soci, o fra soci e società, o fra soci, società e terzi; con specifico riguardo all'ambito dei contratti parasociali, ma anche dei rapporti sociali in senso proprio. L'indagine mostra come, in tali ambiti, specie nel caso in cui il terzo beneficiario dell'accordo sia la società, il profilo dell'interesse dello stipulante assuma connotati non necessariamente coincidenti con quelli che comunemente presenta nei contratti di scambio. Proprio tali applicazioni offrono lo spunto per una rimeditazione del suddetto profilo in sede di disciplina generale dei contratti, la cui rilevanza, anche dal punto di vista storico-comparatistico, appare limitata, e comunque non vincolata a rigide definizioni.
