The monograph describes in a historical and comparative prospective the evolution of the relationships between State and corporations and the use of the company limited by shares for the exercise of public enterprise. The public enterprise is then looked at in a more general phenomenon of public bodies activity in relation to the principle of legality and the increasingly stringent constraints of European and global laws in order to protect ecnomic competition and market integration. It is considered the consequent space reduction for a special right of the public administration in carrying out economic activities, while the gradual overcoming view of company limited by shares as a contract seems to present it still as possible and useful tool for the furtherance of the purposes of general interest.
La monografia descrive in chiave storica e comparatistica l'evoluzione del rapporto tra Stato e società per azioni e dell'utilizzo della s.p.a. per l'esercizio dell'attività imprenditoriale pubblica. Quest'ultima è poi inquadrata nel più generale fenomeno dell'attività delle amministrazioni, in rapporto con il principio di legalità e con i sempre più stringenti vincoli del diritto europeo e globale, posti al fine della tutela della concorrenza della integrazione dei mercati. Si apprezza la conseguente restrizione degli spazi per un diritto speciale dell'amministrazione nello svolgimento di attività economiche, mentre il progressivo superamento di una configurazione in chiave contrattualistica della s.p.a. pare presentarla comunque, ancora, come possibile e utile strumento per il perseguimento di fini di interesse generale.
