The issue of governance has become very topical, especially after the impact that the United States had the scandals of Enron and many other large companies (WorldCom, Global Crossing, Tyco, ect.) For many traders, as well as management scholars, this has meant the start of a crisis in the American capitalist system due to the potential conflict of interest between managers and shareholders, as well as a real fall of ethical values that are the foundation of the American business community. Similarly, in Europe there have been episodes very similar, they have grown the need for a rethinking of the mechanisms of corporate governance and company law in general. In this context, the present work, carried out within the framework of the research project funded by the Ministry of Education to enforce the contributions PRIN 2003 is part of the debate launched by Sumantra Ghoshal last work published in Academy of Management Learning & Educational, 2005 Vol 4 in which the author points out the bad theories of agency and five forces competitive porteriane inculcate in managers from American business schools have destroyed the good management practices. It must continue Ghoshal, radically rethink the problem of corporate governance. In this direction the study presented in the bibliographic work identifies two approaches to corporate governance: on the one hand, as a system of regulatory controls that ensure that the management is to fulfill the interests of shareholders and stakeholders in general and on the other , which address system and guide supervised by the governing, whose decisions should appear motivated by instances of affordability, but also ethical and social legitimacy.
Il tema della governance è divenuto di grande attualità, soprattutto in seguito alle ripercussioni che, negli Stati Uniti hanno avuto gli scandali della Enron e di altre numerose aziende di grandi dimensioni (World-Com, Global Crossing, Tyco, ect). Per molti operatori economici, nonché studiosi di management, tutto ciò ha significato l’avvio di una crisi del sistema capitalistico americano da ricondurre al potenziale conflitto di interessi tra manager e azionisti, nonché ad una vera e propria caduta di quei valori etici che sono il fondamento della business comunity americana. Parimenti, in Europa si sono verificati episodi molto simili, che hanno riproposto la necessità di un ripensamento dei meccanismi della corporate governance e del diritto societario in generale. In quest’ottica il presente lavoro, svolto nell’ambito del progetto di ricerca finanziato dal MIUR a valere dei contributi PRIN 2003, si inserisce nel dibattito avviato da Sumantra Ghoshal nell’ultimo lavoro pubblicato in Academy of Management Learning & Educational, 2005, Vol 4 in cui l’Autore sottolinea come le cattive teorie dell’agenzia e delle cinque forze competitive porteriane inculcate nei manager dalle business school americane abbiano distrutto le buone pratiche manageriali. Occorre, continua Ghoshal, ripensare radicalmente il problema della corporate governance. In tale direzione lo studio bibliografico presentato nel lavoro individua due orientamenti alla governance d’impresa: da un lato, come sistema di regolamentazione dei controlli atti ad assicurare che la gestione si esplichi nell’interesse dei soci e degli stakeholder in generale; dall’altro, quale sistema di indirizzo e guida supervisionato dall’Organo di Governo, le cui decisioni dovrebbero apparire motivate da istanze di convenienza economica, ma anche di legittimazione etico-sociale.
