LA CORPORATE GOVERNANCE NELLE BANCHE

The chapter focuses on the problems of definition of the topic with the goal of understanding the underlying reasons for the different regulatory approaches to business in general and banking intermediaries in particular. In the essay, after having summarized the main regulatory interventions that have redefined the frame of reference of the corporate governance of companies, are specified additional rules of the game under special laws and secondary regulations for the governance of banks, taking into account the functions assigned in the system to that economic operator. Finally focuses attention on the latest regulations issued by the Bank of Italy regarding the governance arrangements of the banks.

Il capitolo si sofferma sui problemi definitori della tematica con l’obiettivo di comprendere le motivazioni sottostanti i diversi approcci regolamentari di imprese in generale ed intermediari bancari in particolare. Nel saggio, dopo aver riassunti i principali interventi normativi che hanno ridefinito la cornice di riferimento della corporate governance delle imprese, sono specificate le regole supplementari del gioco previste da leggi speciali e normativa secondaria per la governance delle banche, tenuto conto delle funzioni attribuite nel sistema a tale operatore economico. In ultimo si concentra l’attenzione sulle ultime disposizioni emanate da Banca d’Italia riguardo gli assetti di governo delle banche.
