The article is divided into two parts. In the first one the role and function of the objects clause is examined, with particular attention to the limits provided by the law on the possible extension of the clause (and analyzing if definiteness is required, as provided for in respect of the object of the contract). In the second part the article analyzes the limitations that arise in the formulation of the corporate objects clause due to the special legislation, and of which each operator must take into account. The burden of control rests in particular on the notary, who must supervise the legality of acts of incorporation of the company, avoiding to contemplate in the same clause activities that are incompatible. The article distinguishes the permissions that are required for the formation of the company from those that are required only for the legitimate exercise of the activity, and the consequences arising from any breach of the special legislation
L’articolo è suddiviso in due parti. Nella prima si analizza il ruolo e la funzione della clausola dell’oggetto sociale, con particolare attenzione ai limiti derivanti dalla legge sulla possibile estensione della clausola (a analizzando se debba sussistere il requisito della determinatezza, come per l’oggetto del contratto). Nella seconda parte l’articolo analizza le limitazioni che sussistono per l’indicazione dell’oggetto sociale in relazione alla legislazione speciale, che devono essere tenute presente da ogni operatore. L’onere del controllo ricade, in articolare, sul notaio, che deve effettuare il controllo di legalità sugli atti societari, evitando di contemplare nella medesima clausola attività incompatibili. L’articolo distingue le autorizzazioni necessarie per la costituzione della società da quelle richieste solo per il legittimo esercizio dell’attività, e le conseguenze derivanti dalla violazione della legislazione speciale.
